Further to the Company's 2025 Annual Financial Results announcement issued on 7 May 2024, North Atlantic Smaller Companies Investment Trust PLC, announces that it has published the Annual Report and Accounts (the "Annual Report") for the financial year ended 31 January 2025 together with a Circular and Notice of the Company's 2025 Annual General Meeting (the "AGM").
The Company hereby confirms that its Annual General Meeting will be held on Thursday 12 June 2025 at 11:00a.m at 6 Stratton Street London W1J 8LD, United Kingdom.
The following documents have today been posted or otherwise made available to shareholders by the Company:
1. Annual Report and Accounts to 31 January 2025
2. Circular and Notice of 2025 Annual General Meeting
Copies of the Annual Report, the Circular and Notice of Annual General Meeting are publicly available on the Company's website at https://www.nascit.co.uk or from the Company Secretary.

Share Subdivision
The Company is proposing to undertake a subdivision (the "Share Subdivision") of each ordinary share of 5p ("Existing Ordinary Shares") into ten new ordinary shares of 0.5p each ("New Ordinary Shares") subject to the approval of the Share Subdivision at the Company's AGM, which will be held on Thursday, 12 June 2025 at 11.00am. The Share Subdivision is intended to improve the liquidity of the Company's shares and enhance the ability of investors to make more efficient regular monthly investments on share dealing platforms.
The Share Subdivision is also conditional on the New Ordinary Shares being admitted to the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange's main market for listed securities. Applications for such admissions ("Admission Applications") will be made and it is expected that such admissions will become effective, and that dealings in the New Ordinary Shares will commence, at 8.00am on Friday, 13 June 2025, at which time the Share Subdivision will become effective. The last day of trading in the Existing Ordinary Shares is expected to be Thursday, 12 June 2025 and the record date for the Share Subdivision is 6.00pm on that date ("Record Date").
Shareholders will receive ten New Ordinary Shares in exchange for each Existing Ordinary Share held at the Record Date. CREST accounts are expected to be credited with New Ordinary Shares on Friday, 13 June 2025 and share certificates in respect of the New Ordinary Shares are expected to be posted to shareholders in the week commencing 16 June 2025.
The New Ordinary Shares will have a new ISIN and SEDOL as follows:
New ISIN: GB00BRDXZ870
New SEDOL: BRDXZ87
The ticker for the New Ordinary Shares will remain the same as the ticker for the Existing Ordinary Shares (NAS).
The New Ordinary Shares will rank pari passu with each other and will be subject to the same rights and restrictions as the Existing Ordinary Shares. A holding of New Ordinary Shares following the Share Subdivision will represent the same proportion of the issued ordinary share capital of the Company as the corresponding holding of Existing Ordinary Shares.
