Results of the Annual General Meeting ('AGM')

 

Coats announces that at the AGM, held in London on 21 May 2025, all the resolutions put to the meeting were duly passed by way of a poll vote by the requisite majority. Resolutions 1 to 16 were passed as ordinary resolutions; resolutions 17 to 20 were passed as special resolutions.

 

Proxy votes were received from shareholders in respect of 86% of the issued share capital. The total number of ordinary shares in issue in relation to the AGM is 1,597,810,385.

i.      Percentage of Votes cast excludes Withheld votes; rounded to two decimal places. Any proxy appointments which gave discretion to the Chair have been included in the "for" column. A copy of the resolutions other than those resolutions comprising ordinary business passed at the AGM has been uploaded to the National Storage Mechanism and will shortly be available for inspection at  https://data.fca.org.uk/#/nsm/nationalstoragemechanism.

ii.     Jackie Callaway did not stand for re-election and stepped down from the Board following the conclusion of the AGM.
