("Nuformix" or the "Company")

Publication of Prospectus

Nuformix plc (LSE:NFX), a pharmaceutical development company targeting unmet medical needs in fibrosis and oncology via drug repurposing, announces that, further to the conditional £210,000 placing announced on 22 May 2025 (the "Placing"), the Company has today published a prospectus (the "Prospectus") relating to the proposed issuance of 300,000,000 new ordinary shares ("New Ordinary Shares") at a price of 0.07 pence per share (the "Issue Price").

The Placing and issue of the New Ordinary Shares remains subject to the fulfilment of the following conditions ("Conditions"): (i) there being no breach of the obligations under the placing agreement entered into between CMC Markets UK Plc ("CMC Markets") and the Company prior to Admission; and (ii) admission of the New Ordinary Shares to trading on the Main Market of the London Stock Exchange ("Admission") becoming effective.

An electronic copy of the Prospectus and the Notice of General Meeting are available for inspection on the Company's website at: https://nuformix.com/document-center/

The Prospectus will also be available for inspection at the National Storage Mechanism at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism.

Admission and Total Voting Rights

Application will be made to the London Stock Exchange for the New Ordinary Shares to be admitted to the equity shares (transition) category the Financial Conduct Authority's Official List and to trading on the Main Market of the London Stock Exchange, assuming the Conditions are met ("Admission").  It is expected that Admission and unconditional dealings in the New Ordinary Shares will commence on the London Stock Exchange at 8.00 a.m. on 30 May 2025.

Following Admission of the New Ordinary Shares, the total number of Ordinary Shares in issue will be 1,995,709,368, each with one voting right.  The Company does not hold any rights in treasury.  The total voting rights figure is therefore 1,995,709,368 and can be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change of their interest in, the Company under the Disclosure Guidance and Transparency Rules of the Financial Conduct Authority.
