Related Party Transaction
Cloudified Holdings Limited, an AIM quoted cash shell, announces that, further to the RNS dated 12 December 2024, and as the board continues to progress the previously identified acquisition opportunity (the "Acquisition"), it has entered into agreement with Salonica Capital Ltd ("Salonica") to provide corporate finance services to the Company in relation to the Acquisition (the "Agreement"). In consideration for services provided, the company agrees to pay Salonica, upon completion of the Acquisition, a fee equal to the higher of:
· £80,000; or
· 5% of the gross value of funds raised from investors introduced by Salonica (excluding any secondary placing).
The Agreement is related party transaction for the purposes of AIM Rule 13 of the AIM Rules for Companies due to Salonica being a substantial shareholder in the Company. The Independent Directors of the Company being Ian Selby, Richard Collett and Alex Hambro, consider, having consulted with Zeus Capital Limited, the Company's Nominated Adviser, that the terms of the Agreement are fair and reasonable in so far as the Company's independent shareholders are concerned.
Further updates will be made in due course regarding the Acquisition.
