Interests in Investec Limited Ordinary Shares - Directors of major subsidiaries

 

On 30 May 2025 the Group announced the award of forfeitable awards made to PDMRs and Directors of major subsidiaries ("the Award Announcement"). 

 

The Award Announcement confirmed the award of 20,904 forfeitable shares representing Long-Term Incentive ("LTI") awarded to Rupesh Govan, a Director of Investec Bank Limited, a major subsidiary of Investec Limited, pursuant to the Investec Limited Share Incentive Plan 2021. This award represented a portion of his full LTI award.

 

On the 30 May 2025 an election was made by Rupesh Govan to participate in the Share Appreciation Rights Plan in respect of 16.67% of his LTI award. Due to the administrative process associated with the Share Appreciation Rights Plan, the resulting details of this election relating to the portion of the LTI allocated in Share Appreciation Rights only became available on 13 June 2025, which are disclosed below.

Further to the 20,904 Long-Term Incentive forfeitable shares previously disclosed on 30 May 2025, Rupesh Govan elected that the remaining portion of the LTI awards participate in the Share Appreciation Rights award type representing Long-Term Incentive pursuant to the Investec Limited Share Incentive Plan 2021. The Share Appreciation Rights were issued with a strike price of R119.60 with a deferred vesting period in each of years 3 to 5 from the date of award.
