Director/PDMR Share Dealing

 

The Company announces that on 25 June 2025 it granted a performance share award structured as a nil cost option award ("Award") over ordinary shares of nominal value 5p each in the Company ("Shares") under and subject to the rules of the Company's Long-Term Incentive Plan 2025 ("LTIP") to a Person Discharging Managerial Responsibilities ("PDMR") of the Company as set out in the table below.

The performance conditions set for the Award align to the Directors' Remuneration Policy and will measure the Company's total shareholder return performance over a three year measurement period ending 31 December 2027 relative to the total shareholder return performance a comparator group of companies (the constituents of the FTSE 250 Index as at start of the measurement period). Sliding scale related vesting targets apply.

 

The terms of the Award include that the Remuneration Committee of the Board retains discretion to override formulaic outcomes in respect of the Award where it considers that the level of vesting is not reflective of the Company's overall corporate performance and/or the Company's shareholder experience. This can include consideration of whether vesting levels represent windfall gains, any substantial mis-alignment between the Company's financial performance and the vesting level, and/or significant concerns in relation to safety.

 

The Award is subject to a two year post vesting holding period (net of sales for tax liability).
