Result of Annual General Meeting
Brave Bison, the next-generation marketing and technology partner for global brands, announces that at the Annual General Meeting (the "AGM") of the Company held earlier today, all ordinary resolutions were duly passed by shareholders.
Resolutions 6,7, and 8, special resolutions requiring 75 per cent of the votes cast to be in favour, did not pass. These resolutions relate to share issuance authorities, authority to buy back shares and authority to call a general meeting within 14 days, respectively. The Board intends to engage with shareholders who voted against the various resolutions to understand their reasons for doing so.
Brave Bison has convened an extraordinary general meeting on 14 July 2025 to seek shareholder approval for the MiniMBA fundraising, amongst other resolutions (the "EGM"). The Company has received irrevocable undertakings to vote in favour of all resolutions at the EGM from shareholders who hold, in aggregate, 494,957,934 Ordinary Shares, representing 37.1 per cent of the Company's issued share capital, and as such all resolutions are expected to pass.

Engage strengthens Brave Bison's capabilities in digital content and channel management for high-profile sports properties, including Formula 1, the ICC, and Real Madrid.
Since 2020, Brave Bison has completed two platform acquisitions and five bolt-on acquisitions, all of which have been integrated into a single operating platform with centralised functions covering technology, operations, sales, marketing, HR and finance. In April 2025, Brave Bison acquired The Fifth, an award-winning influencer marketing agency owned by News Corp. The Fifth has since been integrated into SocialChain, enhancing the Group's capabilities in influencer marketing and social strategy.
