NLB Lease&Go and Summit Leasing Slovenia merged into one company

Pursuant to the Rules of the Ljubljana Stock Exchange and Article158 of the Market in Financial Instruments Act, relating to the Article 17 of the Regulation (EU) No 596/2014, NLB d.d., Trg republike 2, 1000 Ljubljana announces:

NLB Group's journey to strengthen its foothold in the leasing market through cross-border expansion, strategic initiatives, and ambitious goals reached one of its key milestones today. After obtaining all regulatory licenses and entering the merger in the Register of Companies, the company NLB Lease&Go merged to Summit Leasing Slovenija.

One important step remains: the operational integration of NLB Lease&Go with Summit Leasing Slovenia, which is scheduled for this weekend. The companies are committed to ensuring a smooth transition, with a strong focus on maintaining operational efficiency and prioritising the needs of customers, employees, and the dealer network. Based on the successful execution of dress rehearsals, they are confident that the integration process will proceed seamlessly and with minimal disruption.

"NLB Group's focus is clear: to provide our clients with a comprehensive ecosystem of financial services. Leasing is not merely one of them - it is increasingly becoming one of the core pillars of our business, with targets that in its mature phase by 2030 would contribute up to 3 billion EUR to the total assets of the Group. The merging of our two companies enables us to utilise knowledge, expertise, and other synergies, offer unmatched value and innovative solutions to our clients, and build NLB Lease&Go into the leading leasing provider on the market," commented NLB's CEO Blaž Brodnjak.

It is planned that as at July 7, 2025, the merged entities will operate under the name NLB Lease&Go. Mobil Leasing d.o.o., the Croatian subsidiary of Summit Leasing Slovenia, will continue to operate as a separate company on the Croatian market.

Shaping the Future of Leasing in NLB Group's Home Region

Starting in 2020 with the launch of NLB Lease&Go, NLB Group has steadily expanded its leasing footprint.

In 2022, it took a step forward by establishing two new leasing companies in North Macedonia and Serbia. Later, this growth momentum accelerated with the acquisition of SLS HOLDCO, holdinška družba, d.o.o., the parent company of Summit Leasing Slovenia d.o.o., and its Croatian branch, Mobil Leasing d.o.o., further solidifying NLB Group's presence in the region.

In October 2024, the new company NLB Car&Go d.o.o. was established by NLB Lease&Go Ljubljana, which signed an agreement with the Automobile and Motorcycle Association of Slovenia (AMZS) to acquire the online vehicle sales platform doberavto.si as one of the steps to strengthen its leasing activities. The transaction was concluded in February 2025.

So, NLB currently offers leasing services in Slovenia, Serbia, North Macedonia, and since September 11, 2024, also in Croatia, to which NLB Group returned after nearly 30 years.

This announcement will be available on the company's website (www.nlbgroup.com) as of 4 July 2025.
