DCI Advisors Ltd
("DCI" or the "Company")
Extraordinary General Meeting Update
8 July 2025
On 20 December 2024, DCI convened an Extraordinary General Meeting (the "EGM") following receipt of a requisition from Almitas Capital LLC proposing the appointment of Mr Martin Adams as a director of DCI. The EGM was originally convened for 28 February 2025 and has subsequently been postponed several times to enable the Company to investigate certain matters that had come to the Company's attention relevant to the business of the EGM which the Directors had concluded would make it undesirable to proceed with the EGM.
The Company has now been advised by the lawyers investigating these matters that whilst they had anticipated concluding their investigation in June, following the final interview with Mr Adams, it has taken them longer than anticipated to conclude their investigation which will enable DCI to issue its advice to shareholders about the EGM. The Directors have therefore decided to postpone the EGM to 15 August 2025 which should give sufficient time for shareholders to review DCI's advice and process their votes, once the final report for the lawyers is received. The EGM will therefore be held on 15 August 2025 at 12.30pm at the offices of DCI's company secretary, Orbitus at Mont Crevelt House, Bulwer Avenue, St Sampson, Guernsey GY1 3US.
Votes already submitted by proxy will remain valid for the EGM being held on 15 August 2025.
A further announcement will be made ahead of the new date for the EGM.
