Issue of Equity and Total Voting Rights

 

Brave Bison, the next-generation marketing and technology partner for global brands, confirms that further to the announcement made on 25 June 2025, the Company will issue such minimum number of additional Excess Ordinary Shares so that the aggregate nominal value of the Ordinary Share capital of the Company is exactly divisible by 20.

 

The Company confirms that application has been made to the London Stock Exchange for 3 Ordinary Shares of 0.1 pence each in the Company to be admitted to trading on AIM. Admission of the 3 Ordinary Shares is expected to become effective at 8.00 a.m. on 11 July 2025 ("Admission"). 

 

The Ordinary Shares will rank pari passu in all respects with the Existing Shares and will rank in full for all dividends and other distributions declared, made or paid on the Ordinary Shares after Admission.

 

Total Voting Rights

Following Admission, and ahead of the Share Consolidation taking effect, the total issued capital of the Company will consist of 1,333,585,400 Ordinary Shares with voting rights.

The Company does not hold any Ordinary Shares in treasury. Therefore, the total number of voting rights in the Company following Admission will be 1,333,585,400 and this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
