Posting of Notice of GM

Adalan Ventures plc (the 'Company' or 'Adalan'), announces that  it has today posted a notice of General Meeting and forms of proxy to registered shareholders to approve the adoption of new articles of association ("New Articles") to ensure the Company complies with new Listing Rules published by the UK's Financial Conduct Authority (the "Listing Rules") (in particular UKLR 13.2.1R).

The Directors are therefore proposing that the Company adopts the New Articles that provide for (amongst other things) the Initial Transaction Constitution Requirement and the flexibility for Shareholders to approve the Extensions at the relevant time.

The GM will be held at 11.00 am on 4 August 2025 at the office of Hill Dickinson LLP, The Broadgate Tower, 20 Primrose St,  London, EC2A 2EW,  United Kingdom. 

Shareholders are encouraged to exercise their voting rights by submitting the proxy form attached with the GM notice. The deadline for submission of proxies to the Registrar is 11:00 am 31 July 2025. You are advised to appoint the chairman of the meeting as your proxy to ensure your vote is counted.
