Further to the Company's announcement of 8 July 2025 regarding the results of the Tender Offer, the Company today announces that the Tender Price at which all the Shares accepted in the Tender Offer will be acquired is 1,167.22 pence per Share.

The Tender Price has been calculated in accordance with methodology described in the circular which was published by the Company on 6 June 2025 (the "Circular").

Settlement of the Tender Offer

 

Deutsche Numis will acquire the tendered shares pursuant to the Tender Offer on 24 July 2025.

As set out in the Circular, the payment of the Tender Price due to Eligible Tendering Shareholders will be made as soon as practicable and by no later than 10 Business Days after all of the assets allocated to the Tender Pool have been realised.

Total Voting Rights

 

Following the completion of the Tender Offer, the Company will have 79,795,505 Shares in issue (with 33,889,363 Shares held in treasury). Therefore, the total number of voting rights in the Company will be 45,906,142 and this figure may be used by Shareholders as the denominator for calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.

Capitalised terms shall have the meaning attributed to them in the Circular unless otherwise defined in this announcement.
