       ANNOUNCEMENT

Listing and admission to trading of the Company's 129,024,224 Euro denominated ordinary registered shares on the Main Market of the London Stock Exchange (the "LSE") and on the Regulated Securities Market of the Athens Exchange (the "ATHEX") on Monday, 4 August 2025

 

Following the announcement of Metlen PLC made on 29 July 2025 regarding the successful outcome of the voluntary share exchange tender offer (the "Tender Offer") it submitted for the acquisition of all the ordinary registered shares issued by METLEN ENERGY & METALS S.A. ("Metlen S.A."), the Company announces the following:

(a)          On 1 August 2025, the Listings and Market Operation Committee of the ATHEX approved the listing and admission to trading of 129,024,224 Euro denominated ordinary registered shares issued by Metlen PLC (the "Ordinary Shares") on the Regulated Securities Market of the ATHEX.

(b)          The admission of the Ordinary Shares to the equity shares (commercial companies) segment of the Official List of the UK Financial Conduct Authority will become effective at 8:00 a.m., UK time, on 4 August 2025.

(c)          Trading of the Ordinary Shares on the LSE and the ATHEX will commence on 4 August 2025 at 8:00 a.m., UK time, and at 10:15 a.m., Greek time, respectively.            

(d)         The delivery of the Ordinary Shares to the shareholders of Metlen S.A. who accepted the Tender Offer through either CREST or the Dematerialised Securities System, depending on their election, took place on 1 August 2025.      

The trading symbol of the Ordinary Shares is "MTLN" in Latin fonts with ISIN GB00BTQGS779. The reference price of the Ordinary Shares will be €47.16 per share, which is equal to the closing market price of the Metlen S.A. share on the ATHEX on 01 August 2025.

Metlen PLC will promptly inform the investors if there is a change to the dates and times set out in this announcement.
