Intertek Group plc ('Intertek' or the 'Group')

Appointment of a new Chairman and directorate change

Intertek Group plc announces that Steve Mogford will succeed Andrew Martin as Chairman of the Board on 20 May 2026. Andrew will retire as Chairman and non-executive director following the Annual General Meeting on 20 May 2026 after serving on Intertek's Board for nearly ten years.

The Intertek Board would like to express its deepest appreciation and gratitude to Andrew for his extraordinary contribution, service and leadership over his tenure, with the last five years as Chair, and wish him well when he retires from the Board. During Andrew Martin's tenure as Chair, he oversaw the introduction of the AAA differentiated strategy for growth,  navigated both challenges and opportunities following the Covid pandemic, and has been instrumental in strengthening the governance and oversight of the Board.

Steve Mogford joined the Board of Intertek as an independent non-executive director on 1 January 2025. Steve is currently Senior Independent Director of QinetiQ Group plc and a Non-Executive Director and member of the Audit, Nomination and Remuneration Committees of Costain Group plc.

Steve was most recently Chief Executive Officer of United Utilities Group PLC from 2011 until March 2023 and led significant growth during that period. His full biography is available on our website at www.intertek.com.

Upon being appointed Chairman, Steve will chair the Nomination Committee and cease to be a member of the Audit Committee.

Andrew Martin, commented:

"I am delighted to announce that Steve will succeed me as Chair of Intertek in May 2026. Steve has extensive public markets experience and a deep understanding of long-term contracting, projects and regulation from an impressive career covering a number of large organisations.

I am honoured to have served as Intertek Chairman for the past five years and to have been part of the impressive growth and sustainable value creation for all stakeholders, and I look forward to following the Company's future success in the years ahead."

Steve Mogford said:

"I am absolutely delighted to be taking over the role as Chair of the Board from Andrew and to be working with such a capable and experienced Board as well as strong leadership team led by our Chief Executive, André Lacroix, to sustain the growth and ongoing success of the company."

Additional information

In accordance with section 430 (2B) of the Companies Act 2006, Intertek confirms that no remuneration payment will be made by Intertek to Andrew Martin after he ceases to be Chairman and non-executive director of the Company, nor will any payment for loss of office be made.
