Acquisition of ALL.SPACE by York Space Systems

Seraphim Space Investment Trust plc (LSE: SSIT), the world's first listed SpaceTech investment company, notes the announcement made by York Space Systems (NYSE: YSS) ("York") that it has entered into a definitive agreement to acquire SSIT's portfolio company, ALL.SPACE Limited ("ALL.SPACE"). York is a leading, US-based national defence and commercial prime providing a comprehensive suite of mission-critical solutions.

SSIT refers to York's announcement: (York Space Systems - York Space Systems to Acquire ALL.SPACE, Strengthening Assured, Multi-Domain Communications for Critical Missions)

The proposed acquisition is subject to regulatory approvals and customary closing conditions. SSIT will make a further announcement when additional details are publicly available.

The consideration will be satisfied through a combination of cash and York equity and, accordingly, the final value of the consideration cannot be determined until the transaction closes. SSIT does not currently expect the final value of the consideration to be materially different from the carrying value of ALL.SPACE reported in SSIT's interim results for the six months ended 31 December 2025 (which represented 15.9% of SSIT's NAV).
