Results of Annual General Meeting

 

 

Pollen Street Group Limited announces that at its Annual General Meeting ("AGM"), held in-person at 4pm, on Thursday, 30 April 2026, all resolutions set out in the Notice of Annual General Meeting were duly passed by the requisite majority of votes. All resolutions were voted on by way of a poll. A breakdown of the votes cast is set out below.

 

As previously announced on 30 January 2026, the Company confirms that following the AGM, Jim Coyle has retired from the Board with immediate effect. In addition, the appointment of Robert Ohrenstein (Independent Non-Executive Director) as chair of the Audit Committee, effective 1 May 2026, is confirmed. Furthermore, Richard Rowney (Independent Non-Executive Director) is appointed as Senior Independent Director, also effective from 1 May 2026. The Company further announces the appointment of Lynn Fordham as the designated Director of the Board with immediate effect.

Votes "For" and "Against" any resolution are expressed as a percentage (rounded to two decimal places) of votes validly cast for that resolution.

A "Vote withheld" is not a vote in law and is not counted in the calculation of the percentage of shares voted "For" or "Against" any resolution.

The number of shares in issue at close of business on 28 April 2026 was 59,559,741, and 4,649,856 Ordinary Shares were held in treasury. The total number of voting rights in the Company was therefore 59,559,741. Up to 82.17% of voting capital was instructed.

In accordance with UK Listing Rules 6.4.2R and 6.4.3R, a copy of the resolutions passed has been submitted to the Financial Conduct Authority via the National Storage Mechanism, and will shortly be available for inspection at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism

Each resolution to re-elect independent non-executive directors (resolutions 7, 8, 9, 10, 11) has per Listing Rule 6.2.8R been approved by a majority of the votes cast by: (i) the shareholders of the Company as a whole; and (ii) the independent shareholders of the Company, that is, all the shareholders entitled to vote on each resolution excluding the Concert Party.

Per the Notice of AGM, the members of the Concert Party were not entitled to vote on the Authority for the Company to purchase its own shares or the Rule 9 Waiver Resolutions (resolutions 18 and 19).

Regarding the Board changes, the Company makes this announcement in accordance with LR 6.4.6 of the UK Listing Rules. There are no other matters to be disclosed under LR 6.4.6. or LR 6.4.8
