Exercise of Options and Total Voting Rights


essensys plc (AIM:ESYS) ("essensys", the "Company" and together with its subsidiary undertakings, the "Group") announces that, further to the announcement made on 8 May 2026 that the Offer made by essensys Bidco Limited for the entire issued and to be issued share capital of essensys had become unconditional, an application has been made for the admission of 1,259,816 new ordinary shares of 0.25 pence each ("Ordinary Shares") to trading on the AIM market of London Stock Exchange plc ("AIM"), to satisfy the exercise of options held by certain employees. Trading of the New Ordinary Shares is expected to occur on or around 14 May 2026 ("Admission").


The Company advises that, following Admission, its issued share capital will be 66,115,842 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. As such the Company's total number of Ordinary Shares with voting rights is 66,115,842.


The above figure of 66,115,842 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
