Completion of transaction and appointment of non-executive director
The Company is pleased to announce that the acquisition of Ecolibrium and associated Fundraising have now both completed.
As set out in the Company’s announcement of 8 October 2026 and subsequent Circular sent to shareholders on 13 October 2026, for so long as Unbound continues to be interested in not less than 5% of the Company’s issued Ordinary Shares it will have the right to nominate one person for appointment to the Board as a non-executive director.
Unbound have nominated, and the Board has accepted, Mr. Abhijit Mishra as a non-executive director of the Company. Mr. Mishra, aged 42, is currently a director and Chief Financial Officer of Unbound and has previously served as Head of Finance for Jersey Airtel Limited and Head of Business Planning for Airtel India. He is a member of the Institute of Chartered Accountants of India. He is currently a director of Unbound GP Limited, Unbound Management Services Limited and Unbound Holding Sub 1 Limited and was a director of Bharti House Limited in the last 5 years. There are no other matters to be disclosed pursuant to the AIM Rules for Companies.
As part of the completion exercise it was agreed that the subscriptions for CLAs to be made by certain Ecolibrium Shareholders should be amended. The terms and total quantum remain the same but Unbound has advanced £350,000 and Greenwave-FZCO has advanced £150,000.
Unless otherwise defined herein, capitalised terms used in this announcement have the meanings given to them in the Circular published by the Company on 13 October 2026.
